The Corporate Transparency Act (the “CTA”) is a law enacted January 1, 2024 that REQUIRES all businesses registered with a state — an LLC, C-corp, S-corp, etc. — to register all owners with FinCen. A deadline of December 31, 2024 is looming. Stiff penalties of up to 2 years in prison and up to $10,000 penalties may be assessed, with a daily penalty of $593 for those who miss the deadline.
Just yesterday (December 3rd, 2024, a Texas court issued an injunction stating the law is unconstitutional. HOWEVER, it is probably there will be a swift appeal.
